These Website Terms of Use ("Terms") form a legally binding agreement between you and Vocari Health, Inc. ("Vocari," "we," "us," or "our") concerning the public websites, resources, demonstrations, and online services that link to these Terms (collectively, the "Site"). Customer use of the Vocari platform is governed by the applicable order form, services agreement, Platform Terms, and Business Associate Agreement.

1. Acceptance and scope

By accessing or using the Site, you acknowledge that you have read, understood, and agree to these Terms and the Privacy Policy. If you do not agree, do not use the Site. Additional terms displayed with a feature, resource, event, or promotion also apply to that activity. If additional terms conflict with these Terms, the additional terms control for the applicable activity.

2. Eligibility and authority

You must be at least eighteen years old and legally capable of entering into these Terms. If you use the Site on behalf of a company, healthcare organization, or other entity, you represent that you have authority to act for that entity and bind it to these Terms. The Site is operated for users in the United States. Access from another jurisdiction is at your initiative and subject to applicable law.

3. Permitted use

Subject to these Terms, Vocari grants you a limited, revocable, non-exclusive, non-transferable right to access the Site for lawful evaluation of Vocari, communication with our team, and use of public information and resources for their intended purpose. This right does not transfer ownership of the Site or any material made available through it.

4. Prohibited conduct

You may not, directly or through another person:

  • use the Site for an unlawful, fraudulent, abusive, deceptive, discriminatory, or harmful purpose;
  • submit PHI, patient information, credentials, or other sensitive information through a general marketing or contact form;
  • impersonate another person, misstate your affiliation, or use information you are not authorized to provide;
  • interfere with operation of the Site, bypass access restrictions, defeat security controls, or probe or test vulnerabilities without prior written authorization;
  • introduce malware, harmful code, excessive traffic, or automated requests that impair the Site;
  • access, copy, scrape, frame, mirror, or index non-public content or protected areas except through an interface Vocari intentionally provides;
  • reverse engineer, decompile, disassemble, or attempt to derive source code or non-public models from the Site except where applicable law prohibits restriction;
  • remove copyright, trademark, confidentiality, or proprietary notices; or
  • use the Site or its content to infringe or violate the rights of Vocari or another person.

5. Accounts and customer access

Customer workspaces are available only to authorized users. Each user must maintain an individual account, provide accurate information, protect their password and recovery links, and promptly report suspected compromise. You are responsible for activity performed through your account until you notify Vocari and Vocari has a reasonable opportunity to act.

Access to a customer workspace does not make these Website Terms the customer's commercial agreement. The customer's executed agreement and Platform Terms control platform use, payment, data processing, support, and service obligations.

6. Healthcare and AI limitations

The Site and public demonstrations provide product information. They do not provide medical advice, diagnosis, treatment, emergency response, insurance coverage advice, legal advice, or a guarantee of clinical, scheduling, payer, or reimbursement outcomes. Vocari is not a healthcare provider and does not establish a provider-patient relationship through the Site.

Demonstrations may use synthetic or illustrative data and automated output. Automated systems may produce incomplete or inaccurate output. Public demonstrations must not be used for actual patient care or submission of real patient information. Call 911 or the appropriate local emergency number for an emergency.

7. Intellectual property

The Site and its software, workflows, documentation, designs, text, graphics, audio, video, trademarks, service marks, logos, and other content are owned by Vocari or its licensors and are protected by intellectual-property laws. Except for the limited right in Section 3, no license or right is granted by implication, estoppel, or otherwise.

"Vocari," "Vocari Health," associated logos, and product names are marks of Vocari. You may not use them in a way that suggests sponsorship, endorsement, or affiliation without written permission.

8. Submissions and feedback

If you send feedback, suggestions, or ideas about the Site or Vocari products, you grant Vocari a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, distribute, and incorporate that feedback without restriction or compensation. This right does not authorize Vocari to identify you publicly, disclose your Confidential Information, or use PHI contrary to an applicable agreement or law.

You represent that you have the rights needed to provide material you submit and that it does not violate law or another person's rights.

9. Third-party services and links

The Site may link to third-party websites, resources, or services. Vocari does not control and is not responsible for their availability, content, security, terms, or privacy practices. A link does not imply endorsement. Your use of a third-party service is governed by its terms and policies.

10. Disclaimers

To the maximum extent permitted by law, the Site and all public content are provided "as is" and "as available." Vocari disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

Vocari does not warrant that the Site will meet your requirements, remain available at all times, be free of harmful components, or contain complete or current information. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, Vocari and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunity, arising from or related to the Site, even if advised that such damages were possible.

To the maximum extent permitted by law, Vocari's aggregate liability for all claims arising solely from public Site use will not exceed one hundred United States dollars. These limitations do not apply to liability that cannot be excluded or limited under applicable law.

12. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Vocari and its affiliates, officers, directors, employees, and agents from third-party claims, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Site, violation of these Terms, material you submit, or infringement of another person's rights. Vocari may control the defense of a matter subject to indemnification, and you will reasonably cooperate.

13. Suspension and termination

Vocari may restrict, suspend, or terminate access to the Site when reasonably necessary to protect the Site, another person, or Vocari; investigate suspected misconduct; comply with law; or address a violation of these Terms. Sections that by their nature should survive termination, including intellectual property, disclaimers, liability, indemnification, and general terms, will survive.

14. Governing terms

Unless applicable law requires otherwise, these Terms are governed by the laws of the jurisdiction in which Vocari Health, Inc. is organized, without regard to conflict-of-law principles. The state and federal courts located in that jurisdiction will have exclusive jurisdiction over disputes arising from these Terms or the Site, and each party consents to personal jurisdiction and venue there.

These Terms and incorporated policies are the entire agreement concerning public Site use. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without Vocari's written consent. Vocari may assign them in connection with a merger, reorganization, financing, sale of assets, or operation of law.

15. Changes and contact

Vocari may update these Terms by posting a revised version with a new effective date. Material changes apply prospectively unless law requires otherwise. Continued use after the effective date constitutes acceptance of the revised Terms.

Questions about these Terms may be sent to info@vocarihealth.co or through our contact page.
